Tenancy Agreement

(for Business Address / Virtual Office)

 

between

 

RS Centre Cube Sdn Bhd ("Cent@Cube")

 

and

 

The Person / Party whose details are set forth in Section 2 of the Schedule ("Tenant")

 

Tenancy:

Cent@Cube shall provide business address rental service ("Tenancy") at the address set forth in Section 3 of the Schedule ("Premise Address") to the Tenant.

 

Service:

Refer to Section 4 of the Schedule.

 

Term:

Refer to Section 5 of the Schedule.

 

Use of the Premise Address: The Premise Address shall be used for corporate or business address only and shall not be used for any illegal purposes. If used for the purposes of business registration, this Tenancy shall be valid for one (1) business entity only. Any other uses not agreed hereunder are prohibited unless prior written approval from Cent@Cube is obtained.

 

Trade Licence:

(This Clause is not applicable for rental of address in Putrajaya).

 

If the Premise Address is used for application of trading licence under the Sarawak Trade Licensing, Professions and Business Ordinance (Chapter 33) ("Ordinance"), the Tenant shall renew this Tenancy prior to the renewal of the said trading licence.

 

If this Tenancy is not renewed but the Tenant renewed his / her / their trade licence with Lembaga Hasil Dalam Negeri ("LHDN") or the respective Local Authority / Collector (as defined under the Ordinance) using the Premise Address, the Tenant shall be deemed to incur debt in the form of rental to Cent@Cube based on the number of month the Premise Address is used for the said renewal.

 

Registration of Business:

 

If the Premise Address is used as registration address for any business / club / association or any other entities, the Tenant shall renew this Tenancy prior to the renewal of the registration of said entity, failing which the Tenant shall be deemed to incur debt in the form of rental to Cent@Cube based on the number of month the Premise Address is used after the expiry of this Tenancy.

 

Fees:

The Tenant shall pay the rental, stamp duty and/or administration fee ("Fees"), the amount of which is stated in Section 6 of the Schedule.

 

The Fees are waived if sponsored / paid by any party under any special project.

 

Personal Data: The Tenant acknowledges, agrees and consents that his or her personal data may be processed by and/or made accessible to the employees and/or agents of Cent@Cube for the purposes of providing the Tenancy.

 

Assignment: The Tenant shall not at any time assign and/or sub-let the Tenancy to any other party.

 

Law: This Tenancy shall be governed by the law of Malaysia.

 

Termination: In the event that Cent@Cube is no longer able to provide the Tenancy, Cent@Cube shall have the right to terminate this Agreement by giving thirty (30) days' notice to the Tenant.

 

Tenancy: Cent@Cube shall provide business address rental service ("Tenancy") at the address set forth in Section 3 of the Schedule ("Premise Address") to the Tenant for registration of online business ("Business") with Suruhanjaya Syarikat Malaysia ("SSM") under the Registration of Business Act 1956.

 

Service:

Refer to Section 4 of the Schedule.

 

Term:

Refer to Section 5 of the Schedule.

 

Use of the Premise Address: The Premise Address shall only be used as registration address of the Business and this Tenancy shall be valid for one (1) business entity only. The Premise Address shall not be used as mailing / correspondence address and/or for any illegal purposes. Any other uses not agreed hereunder are prohibited unless prior written approval from Cent@Cube is obtained.

 

Registration of the Business: Registration of the Business shall be done within seven (7) days from the date of this Agreement ("Grace Period"), failing which application for the registration may be rejected by SSM.

 

Renewal of the Business:

 

The Tenant shall renew this Tenancy prior to the renewal of the Business with SSM. If this Tenancy is not renewed but the Tenant renewed the Business with SSM using the Premise Address, the Tenant shall be deemed to incur debt in the form of rental to Cent@Cube based on the number of month the Premise Address is used after the expiry of this Tenancy.

 

Rental:

The Tenant shall pay the rental ("Rental"), the amount of which is stated in Section 6 of the Schedule.

 

The Rental is waived if sponsored / paid by any party under any special project.

 

Personal Data: The Tenant acknowledges, agrees and consents that his or her personal data may be processed by and/or made accessible to the employees and/or agents of Cent@Cube for the purposes of providing the Tenancy.

Tenancy of the Premise Address as business address or virtual office of the Tenant.

 

All mails and parcels shall be kept by the Landlord during the Term and will be disposed upon expiry of the Term if not collected by the Tenant. Parcels which contain perishable items will be disposed at the discretion of Cent@Cube.

 

Notification via email upon of receipt of mails.

All mails will be unsealed, scanned and sent to the Tenant's email. Additional charges shall apply and be paid to Cent@Cube in advance if the Tenant requests for mails / packages to be sent by courier, ordinary post, registered post etc to any location

Tenancy of the Premise Address for business registration only. The Premise Address shall not at any time be used as business operation address or correspondence address. No mail storage services will be provided under this package.
